iHeart Court Battle Being Eyed Closely By Other Groups

THE MOUTH, MAY 18TH, 2016 –– In a case being watched closely by other U.S. companies looking to restructure their debt, the iHeartMedia’s lawsuit against investors comes down to the definition of an investment. According to The San Antonio Express News, If state District Judge Cathleen Stryker rules against iHeartMedia, it could kick off a cascade of events that could quickly trigger technical default on as much as $15 billion of its bonds and put iHeartMedia at risk of bankruptcy, company executives have said in court. The paper reports both sides tried to no avail to find a compromise before the trial, but may still be able to strike a deal that allows iHeartMedia to avoid bankruptcy if it loses in court.

iHeartMedia has been battling a group of its bondholders since early January, when investors began threatening to force the company into default on some of its notes over a transaction they claim technically violated their bond agreements. At issue is whether iHeartMedia’s Dec. 3 transfer of 100 million shares of company-owned stock from one subsidiary to another qualified as an investment. The transaction was done as part of a complicated strategy to reduce iHeartMedia’s financing costs on its staggering $20.8 billion in debt. On Monday, iHeartMedia lawyer Kevin Huff told Stryker that the transfer was proper because it fits the definition of “investment” in its debt agreements. “Investment has meaning beyond a profit motive. This was a permitted investment,” Huff said in court this week. Huff added, IHeartMedia performed similar transactions in 2008 and 2009 by moving cash into subsidiaries designed to buy company debt at a discount. “No one threatened notices of default then,” Huff said. Lawyers representing the bondholders argued that there is not standardized definition for an “investment” in bond agreements. Jones Day lawyer Bruce Bennett, who represents the bondholders group, told Stryker, “One indenture cannot be used to interpret another” agreement. iHeart's Darren Davis Tells Judge Rumored Financial Trouble Keeping Skiddish Young Job Candidates From Joining Company'

THE MOUTH, MAY 18TH, 2016 –– Among those testifying in court yesterday in San Antonio was Darren Davis reports forbes.com, President of iHeartRadio. “It’s disrupting our operating business every day,” said Davis. He told the judge that the company’s line of credit was recently reduced from $1.5 million to $50,000, hampering its ability to quickly respond to market opportunities. And two of its largest manufacturing partners, who offer iHeartRadio as an integrated feature of products like televisions and cars, also claim to be “very concerned”’ about sticking with a company rumored to be in financial trouble.

“It damages a brand perhaps irreparably.” Davis said and feared that at least one of the company’s partnerships wouldn’t survive any potential bankruptcy “based on conversations we’ve had.” “We’ve had $20 billion in debt for the last eight years, and we’ve never had any bankruptcy threat until the last 60 days,” Davis told Texas State Judge Cathleen Stryker. The default threat has also kept skittish young job candidates from joining the company, added Davis. "Because of the drumbeat of negative news bombarding their social media accounts.

Davis denied under questioning by the lenders’ attorney that his comments conflict with recent trade-press assurances by Bob Pittman, iHeartMedia’s CEO, that company operations haven’t been disrupted by the default threat. He said those comments were aimed at reassuring company employees worried their jobs are in jeopardy. “He’s trying to calm them down, let them know their card key is still going to work,” Davis said. “But we’re still ordering pizza on Fridays, and we’re still ordering bagels to start Mondays.” The case is IHeartCommunications Inc. v. Former Radio Host, Billy Bush, To Join NBC's 'Today Show'

THE MOUTH, MAY 18TH, 2016 –– Former radio host turned TV star, Billy Bush, has been tapped to join NBC's morning news franchise, the 'Today Show' reports The Hollywood Reporter. The announcement came Tuesday morning from Noah Oppenheim, SVP, NBC News' and in charge of Today.

Bush, who is in the process of exiting Access Hollywood and Access Hollywood Live, will play an important role in the show's 9 a.m. hour. Veteran Today anchor Natalie Morales (shown), who was among the co-hosts of 7that hour along with Tamron Hall, Al Roker and Willie Geist, has already been tapped as host of the NBCUniversal infotainment properties. As Host Mulls Cutting Back His Work Load, It's Apparent Radio Won't Be One Of Them

Former Producer Pleads Guilty To Harassing Gregg (Opie) Hughes

THE MOUTH, MAY 17TH, 20916 –– Benjamin Sparks, A former producer of the “Opie and Anthony” show, pleaded guilty to harassing reg (Opie) Hughes reports nydailynews.com. Benjamin Sparks Benjamin Sparks copped to one count, a violation, in Manhattan Criminal Court for inundating Gregg (Opie) Hughes with alarming calls and text messages last September. He was ordered to complete four days of community service and must stay away from Hughes, who said his colleague was a longtime menace to him and his family.

Sparks called Hughes a “f---ing law-breaking piece of s--t” and threatened him with lawsuits, court papers say. Gregg (Opie) Hughes said that Sparks had been harassing him and his family for years. “I have good lawyers.
